The agreement
These Terms of Service (the "Terms") are a legal agreement between you and Woodrow Chester & Co. ("ChesterJob", "we", "us", or "our"), governing your access to and use of the ChesterJob website, application, and services (collectively, the "Service").
By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Eligibility
To use the Service you must:
- Be at least 18 years old
- Have the legal capacity to enter into a binding contract
- Not be barred from receiving services under applicable law
- Provide accurate, current, and complete information during registration and keep it up to date
We may decline applications at our discretion. Approval is not a guarantee of work volume, and we make no promises about how much work you will receive.
Your account
You are responsible for all activity that occurs under your account. You agree to:
- Keep your password confidential and not share your account with anyone
- Notify us promptly of any unauthorized access
- Use a real, working email address that you control and check
- Maintain only one account per person, unless we approve otherwise in writing
The service
ChesterJob is a curated marketplace where approved freelancers can browse and claim paid briefs published by our internal divisions and partner agencies. You are an independent contractor, not an employee, partner, or agent of ChesterJob. Nothing in these Terms creates a joint venture, agency, or employment relationship.
We provide the platform "as is" and "as available". We may modify, suspend, or discontinue any part of the Service at any time, with notice where practical.
Briefs and claims
When you claim a brief, you are committing to deliver the described work within the stated deadline, at the stated payout. Key rules:
- First come, first served. Once a brief is claimed, no other freelancer may claim it.
- Claims are binding. A claim is a commitment to deliver. If you need to release a brief, contact the concierge as early as possible.
- Repeated late or abandoned claims may result in tier demotion or suspension.
- Scope clarity. If anything in a brief is unclear, ask before you start. We will answer.
- Revisions. Briefs include a reasonable number of revision rounds. Excessive revisions are at our discretion.
Deliverables and intellectual property
You retain authorship of any work you create. By submitting a deliverable as final and accepting the corresponding payout, you irrevocably assign all rights, title, and interest in the deliverable to ChesterJob, which may in turn assign or license those rights to the end client.
- You warrant that your deliverables are original, do not infringe any third-party rights, and do not contain unlicensed material
- You will not publish, reuse, or redistribute deliverables without our prior written consent
- You will not disclose the identity of the end client or the existence of the engagement, except as needed to complete the work
- You will not use deliverables to train AI models or feed them to public datasets
ChesterJob's name, logo, design system, and platform code remain the exclusive property of Woodrow Chester & Co.
Payment
The payment terms for each brief:
- Payout amount is fixed at the time of claim and stated on the brief
- Released on approval. Payouts are dispatched once a Final deliverable has been approved by us
- Hold period. A short hold period may apply after approval to allow for client review
- Method. We pay via the method on your profile. You are responsible for keeping your payout details accurate
- Currency. Payouts are denominated in USD unless otherwise stated. Currency conversion uses our daily rate plus a stated buffer
- Taxes. You are responsible for any taxes due on your earnings in your jurisdiction. We do not withhold tax unless required by law
- Disputes. If you believe a payout is incorrect, contact us within 30 days of the disputed event
Acceptable use
You agree NOT to:
- Use the Service to create or distribute illegal, infringing, defamatory, fraudulent, or harmful content
- Impersonate any person or misrepresent your identity
- Harass, threaten, or discriminate against any other user or member of our team
- Submit work generated solely by AI as your own original work, unless the brief explicitly permits it
- Scrape, crawl, or automate access to the Service without our prior written consent
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Circumvent security measures or rate limits, including by creating multiple accounts
- Solicit our clients off-platform during or within 12 months of any engagement
Suspension and termination
We may suspend or terminate your account, or remove any content, at any time for any reason — including, without limitation, violations of these Terms, fraudulent activity, or extended inactivity. We will give notice when practical.
You may close your account at any time by contacting us. Sections of these Terms that by their nature should survive termination (including IP, indemnification, and limitations of liability) will survive.
Warranties and disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
NOTHING IN THESE TERMS LIMITS OR EXCLUDES ANY LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHESTERJOB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE TOTAL AMOUNTS PAID OR PAYABLE BY US TO YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (b) USD $100.
Indemnification
You agree to indemnify, defend, and hold harmless ChesterJob, Woodrow Chester & Co., and their owners, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service
- Your deliverables
- Your violation of these Terms or any applicable law
- Your infringement of any third-party right
Governing law and disputes
These Terms are governed by the laws of the Republic of Lebanon, without regard to its conflict-of-laws principles. You and we agree to attempt in good faith to resolve any dispute informally before initiating formal proceedings.
Any dispute that cannot be resolved informally will be brought exclusively in the competent courts of Beirut, Lebanon.
Changes
We may update these Terms from time to time. Material changes will be announced in-product and by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
General terms
- Entire agreement. These Terms, our Privacy Policy, and any policies referenced herein constitute the entire agreement between you and us regarding the Service
- Severability. If any provision is held unenforceable, the remainder will remain in full force
- Waiver. Our failure to enforce any provision is not a waiver of our right to do so later
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets
- Notices. We may send legal notices to the email address on your account
- Force majeure. We are not liable for failures caused by events beyond our reasonable control
